1. TOEPASSELIJKHEID VAN DE ALGEMENE VOORWAARDEN

1.1 Onderhavige algemene voorwaarden zijn van toepassing op alle offertes, bestellingen, overeenkomsten van koop en verkoop en leveringen van producten en/of diensten van, met en door SPORTIZON.

1.2 De algemene voorwaarden van de klant worden uitdrukkelijk uitgesloten. De toepassing van deze algemene voorwaarden wordt door de klant aanvaard door het enkele feite van het sluiten van een koopovereenkomst of door de aanvaarding van een levering.

1.3 Om geldig te zijn, moet elke afwijking van de algemene voorwaarden van tevoren schriftelijk, uitdrukkelijk en door SPORTIZON ondertekend zijn overeengekomen.

2. PRIJSOFFERTES EN AANVAARDING VAN DE OPDRACHT

2.1 Alle prijsoffertes opgemaakt door SPORTIZON zijn geldig voor een duur van 14 dagen, tenzij schriftelijk anders werd overeen gekomen. De klant dient zijn akkoord met de prijsofferte van SPORTIZON m.b.t. de opdracht schriftelijk te bevestigen. De overeenkomst komt tot stand wanneer SPORTIZON de opdracht van de klant schriftelijk heeft aanvaard. De schriftelijke kennisgevingen onder huidige algemene voorwaarden gebeuren per e-mail, fax of per brief, tenzij anders is voorzien. Een begin van uitvoering door SPORTIZON geldt ook als aanvaarding, tenzij die onder voorbehoud is gebeurd.

3. PRIJS EN BETALINGSMODALITEITEN

3.1 Behalve indien uitdrukkelijk, schriftelijk anders overeengekomen gaat elke bestelling gepaard met de betaling van een voorschot, ter waarde van minimaal 30% van het totale bedrag van de bestelling. Het saldo wordt uiterlijk betaald 30 dagen na ontvangst van de saldo factuur. Betalingen dienen te gebeuren in euro’s en per overschrijving naar de op de facturen vermelde bankrekening(en).

3.2 Bij gebrek aan betaling op de vervaldag zullen de aan SPORTIZON verschuldigde bedragen automatisch, van rechtswege en zonder voorafgaande ingebrekestelling verhoogd worden met verwijlintresten aan een maandelijkse intrestvoet van 1,0%, te beginnen vanaf de vervaldatum van de factuur, waarbij elke begonnen maand als volledige maand wordt aanzien, evenals met een conventionele en forfaitaire schadevergoeding van 10% van het onbetaald gebleven bedrag, met een minimum van 250 EUR. Bijkomende kosten voor invordering zoals gerechtskosten, rechtsplegingsvergoedingen en erelonen van technische raadslieden worden eveneens verhaald op de klant.

3.3 Bovendien worden in geval van laattijdige betaling van één factuur, alle sommen die de klant aan SPORTIZON verschuldigd is, zelfs indien deze op dat ogenblik nog niet vervallen zijn, onmiddellijk en volledig opeisbaar.

3.4 Daarenboven behoudt SPORTIZON zich het recht voor om, in het geval de betaling uitblijft of vertraging oploopt, de uitvoering van nog geplande evenementen voor dezelfde klant op te schorten of definitief stop te zetten (of deze nu het voorwerp uitmaken van de onbetaalde opdracht of van een andere opdracht), zonder voorafgaande ingebrekestelling en zonder afbreuk te doen aan de mogelijkheid voor SPORTIZON om een schadevergoeding te vorderen.

3.5 Indien de factuur op vraag van de klant /opdrachtgever op naam van een derde is opgemaakt, zal de klant solidair met deze derde gehouden zijn tot betaling van de factuur en de uitvoering van de andere aangegane verbintenissen.

3.6 De initieel overeengekomen prijs en de gestorte voorschotten zullen bovendien en in ieder geval verworven zijn door SPORTIZON, die, in de mate deze nog niet volledig betaald zouden zijn geweest, ook het nog door de klant verschuldigde saldo zal kunnen opeisen. Hetzelfde geldt in het geval de bestelling wordt geannuleerd voor zij ten uitvoer wordt gebracht, conform de bepalingen voorzien in artikel 5.

3.7 Elke klacht betreffende facturen van SPORTIZON moet schriftelijk ter kennis gebracht worden binnen de 7 dagen na hun verzendingsdatum. Bij gebreke hieraan zullen de facturen geacht worden zonder voorbehoud aanvaard te zijn.

4. UITVOERING VAN DE OVEREENKOMST – LEVERING EN EIGENDOMSVOORBEHOUD

4.1 De leveringstermijnen worden enkel bij wijze van inlichting verstrekt en zijn derhalve niet bindend tenzij dit uitdrukkelijk overeengekomen werd. Vertraging in uitvoering van de bestelling kan nooit aanleiding geven tot schadevergoeding of ontbinding van de overeenkomst, tenzij er een uitdrukkelijke leveringstermijn werd overeengekomen.

4.2 Alle geleverde diensten, materialen of goederen die niet uitdrukkelijk vermeld worden in het contract of op de offerte zullen extra in rekening gebracht worden op de saldofactuur. Toegevoegde diensten dienen niet schriftelijk bevestigd te worden. Mondelinge bevestiging van diensten zullen als rechtsgeldig aanvaard worden.

4.3 SPORTIZON is gerechtigd met derden van haar keuze en onder haar verantwoordelijkheid samen te werken – natuurlijke persoon of rechtspersoon – voor het vervullen van de prestaties die haar zijn toevertrouwd.

4.4 De eigendomsrechten van de geleverde materialen of goederen gaan slechts over op de klant vanaf het ogenblik van volledige betaling.

5. ANNULERING VAN DE OPDRACHT OF VERMINDERING VAN DE PRESTATIES

5.1 In geval van annulering van de overeenkomst door de klant op eender welk tijdstip, zullen steeds de werkelijk gemaakte kosten verschuldigd zijn aan SPORTIZON. Hieronder vallen onder meer maar niet uitsluitend de gerealiseerde werkuren, bezettingsverlies, gemaakte (reserverings-) kosten van alle aard, etc.

Naargelang het toepasselijke geval leidt een annulering van de overeenkomst of van één of meerdere bepaalde opdrachten binnen de overeenkomst of van een vermindering van de prestaties die vallen onder overeenkomst door de klant, tot de opeisbaarheid van de volgende bedragen:

(i) als de annulering of vermindering minstens 75 dagen voor de productionele startdatum van de opdracht wordt aangekondigd, zal de klant een forfaitaire schadevergoeding wegens eenzijdige opzegging verschuldigd zijn van 25% van het totale factuurbedrag;

(ii) als de annulering of vermindering minder dan 75 dagen maar minstens 30 dagen voor de productionele startdatum van de opdracht wordt aangekondigd, zal er een forfaitaire schadevergoeding wegens eenzijdige opzegging verschuldigd zijn van 50% van het totale factuurbedrag;

(iii) als de annulering of vermindering minder dan 30 dagen voor de productionele startdatum van de opdracht wordt aangekondigd, zal er een forfaitaire schadevergoeding wegens eenzijdige opzegging verschuldigd zijn van 100% van het totale factuurbedrag;

5.2 De in artikel 5.1 genoemde forfaitaire schadevergoedingen beïnvloeden geenszins het recht van SPORTIZON om aanvullende schadevergoeding van de klant te eisen indien de werkelijk door SPORTIZON geleden schade hoger is.

5.3 De klant en SPORTIZON kunnen in onderling overleg, schriftelijk afwijken van artikel 5.1. De meerkosten die eventuele wijzigingen aan de oorspronkelijke overeenkomst met zich meebrengen worden doorgerekend aan de klant.

6. KLACHTEN

6.1 Klachten over de verrichte werkzaamheden dienen door de klant binnen de 7 dagen vanaf hun ontdekking schriftelijk te worden gemeld aan SPORTIZON. De ingebrekestelling dient een zo gedetailleerd mogelijke omschrijving van de tekortkoming te bevatten, zodat SPORTIZON in staat is adequaat te reageren. Klachten die na deze termijn worden gemeld, worden niet meer aanvaard.

6.2 Indien een klacht gegrond is, zal SPORTIZON de werkzaamheden alsnog verrichten cq. corrigeren zoals overeengekomen, tenzij dit inmiddels voor de klant aantoonbaar zinloos is geworden. Dit laatste dient door de klant schriftelijk kenbaar te worden gemaakt.

7. TERRUGGAVE

7.1 Indien SPORTIZON aan de klant bij de uitvoering van de overeenkomst zaken ter beschikking heeft gesteld, is de klant gehouden het geleverde na beëindiging van de overeenkomst of van één of meerdere opdrachten binnen de overeenkomst, binnen 7 dagen in oorspronkelijke staat, vrij van gebreken en volledig te retourneren.

7.2 Indien de klant om welke reden ook, na daartoe strekkende aanmaning, alsnog in gebreke blijft met de onder 7.1 genoemde verplichting, heeft SPORTIZON het recht de daaruit voortvloeiende schade en kosten, waaronder de kosten van vervanging op de klant te verhalen.

8. ONTBINDING

8.1 Onverminderd het recht op schadevergoeding en onverminderd de toepassing van artikel 1184 B.W., heeft SPORTIZON het recht de overeenkomst met de klant van rechtswege en zonder schriftelijke ingebrekestelling te ontbinden indien een van de volgende gebeurtenissen zich voordoen: de niet betaling op de vervaldag van één enkele factuur, alsook ingeval van overlijden, onbevoegdheid, onbekwaamverklaring, invereffeningstelling, kennelijk onvermogen, gerechtelijke reorganisatie indien de klant na hiertoe in gebreke te zijn gesteld door SPORTIZON het nakomen van zijn overeenkomst niet heeft bevestigd of in geval van faillissement van de klant.

9. VRIJWARINGEN

9.1 De klant vrijwaart SPORTIZON voor aanspraken van derden met betrekking tot rechten van intellectuele eigendom op door de klant verstrekte materialen of gegevens, die bij de uitvoering van de overeenkomst worden gebruikt.

10. OVERMACHT

10.1 De overeenkomst of één of meerdere opdrachten die deel uitmaken van de overeenkomst met de klant kan/kunnen door SPORTIZON uitgesteld, aangepast of ontbonden worden in geval van overmacht of ten gevolge van externe factoren los van de wil van SPORTIZON. Onder overmacht wordt verstaan iedere omstandigheid buiten de wil van SPORTIZON om, die haar (zelfs tijdelijk) verhindert haar verplichtingen geheel of gedeeltelijk uit te voeren. Hieronder wordt onder meer begrepen (niet limitatief), een aanzienlijke wijziging in prijs/reputatie van de bestelde bekende persoon, materialen, lokalen of diensten, niet of niet-tijdige levering of fouten van toeleveranciers of andere ingeschakelde derden, instructies, beslissingen of interventies van welke aard dan ook vanwege openbare, administratieve of regelgevende diensten (“fait du Prince”), terrorisme of dreiging met terreur, weersomstandigheden (zoals extreme hitte, onweer, storm, rukwinden, overstromingen, enz.), brand, oproer, oorlog of oorlogsdreiging, opstand, overlijden, ziekte, epidemieën, staat van quarantaine, storingen in een (telecommunicatie) netwerk of verbinding of gebruikte communicatiesystemen, onlusten op de openbare weg, blokkades, stakingen of lock-outs, demonstraties en andere verstorende ongeregeldheden.

10.2 SPORTIZON verbindt zich er evenwel toe de klant onmiddellijk te verwittigen moest dergelijk feit zich voordoen en in dit geval, in de mate van het mogelijke, een evenwaardig alternatief voor te stellen. In geen geval kan SPORTIZON aansprakelijk gehouden worden en er zal geen enkele schadevergoeding verschuldigd zijn aan de klant.

10.3 Overmacht ontslaat de klant niet van zijn betalingsverplichtingen voor reeds geleverde prestaties.

11. AANSPRAKELIJKHEID

11.1 SPORTIZON staat niet in voor de eventuele schade of vernietiging aan of diefstal van voorwerpen van de klant die haar werden toevertrouwd in het kader van de overeenkomst, behalve wanneer de schade of vernietiging of diefstal te wijten is aan een grove nalatigheid in hoofde van SPORTIZON.

11.2 Aansprakelijkheid van SPORTIZON in geval van overmacht is uitgesloten. Gevallen van overmacht geven geen recht op enige vorm van schadevergoeding.

11.3 SPORTIZON heeft een verzekering burgerlijke aansprakelijkheid. De eventuele buitencontractuele aansprakelijkheid van SPORTIZON is steeds beperkt tot de dekking voorzien in de door haar afgesloten verzekering burgerlijke aansprakelijkheid.

11.4 Indien SPORTIZON tekort komt in de uitvoering van haar prestaties en er niet binnen de dertig dagen na schriftelijke ingebrekestelling van de klant in slaagt om haar wanprestatie recht te zetten, zal de totale schadevergoeding eventueel verschuldigd door SPORTIZON wegens contractuele wanprestatie nooit hoger zijn dan 25% van het bedrag gefactureerd voor de prestatie, behoudens andersluidende dwingendrechtelijke voorschriften of bepalingen van openbare orde.

11.5 SPORTIZON kan nooit aansprakelijk gesteld worden voor indirecte schade, daaronder begrepen gevolgschade, gederfde winst, gemiste besparingen en schade door bedrijfsstagnatie.

12. ALGEMEEN

12.1 SPORTIZON behoudt zich het recht voor om de door de uitvoering van de werkzaamheden toegenomen kennis voor andere doeleinden te gebruiken, voor zover hierbij geen vertrouwelijke informatie ter kennis van derden wordt gebracht. SPORTIZON behoudt zich eveneens het recht voor om publiciteit te maken voor de door haar gerealiseerde opdrachten bij wijze van referte voor haar eigen onderneming, zonder hiervoor vooraf de toestemming te bekomen van de klant.

12.2 SPORTIZON zal haar naam of logo mogen aanbrengen op dragers gebruikt ter promotie van de opdracht, overeenkomstig de modaliteiten overeen te komen met de klant. Dit logo zal niet mogen worden veranderd, weggenomen of verplaatst zonder de toestemming van SPORTIZON.

12.3 SPORTIZON behoudt alle intellectuele eigendomsrechten op de ontwikkeling, het concept en de uitwerking van het evenement, ook op deze die slechts in een ontwikkelingsfase zouden zijn gebleven of die uiteindelijk niet zouden zijn goedgekeurd of uitgevoerd.

13. TOEPASSELIJK RECHT, BEMIDDELINGSCLAUSULE EN BEVOEGDE RECHTBANK

13.1 Het Belgisch recht is uitsluitend van toepassing in geval van betwistingen tussen SPORTIZON en de klant.

13.2 In geval van een geschil tussen de partijen omtrent de geldigheid, de interpretatie of de uitvoering van de onderhavige overeenkomst, zullen de rechtbanken van Brussel uitsluitend bevoegd zijn om kennis te nemen van het geschil. De taal waarin het geschil zal gevoerd worden is het Nederlands.

1. APPLICATION DES CONDITIONS GÉNÉRALES

1.1 Les présentes conditions générales s’appliquent à toutes les offres, commandes, livraisons de produits et/ou services, et à tous les contrats d’achat et de vente de, avec et par SPORTIZON.

1.2 L’application des conditions générales du client est expressément exclue. Le client accepte l’application des présentes conditions générales par le simple fait de conclure un contrat d’achat ou d’accepter une livraison.

1.3 Pour être valable, toute dérogation aux conditions générales doit avoir été explicitement convenue au préalable par écrit et signée par SPORTIZON.

2. OFFRES DE PRIX ET ACCEPTATION DE LA COMMANDE

2.1 Toutes les offres établies par SPORTIZON restent valables pendant une durée de 14 jours, sauf accord écrit différent. Le client doit confirmer par écrit son acceptation de l’offre de prix de SPORTIZON pour la commande. Le contrat est conclu lorsque SPORTIZON a accepté la commande du client par écrit. Les notifications écrites au titre des présentes conditions générales doivent être effectuées par e-mail, fax ou lettre, sauf disposition différente. Un début d’exécution par SPORTIZON a également valeur d’ acceptation, à moins que celle-ci ne soit assortie d’une réserve.

3. PRIX ET MODALITÉS DE PAIEMENT

3.1 Sauf convention différente expresse et écrite, toute commande va de pair requiert le paiement d’un acompte d’une valeur minimale de 30 % du montant total de la commande. Le solde doit être payé au plus tard 30 jours après réception de la facture de solde. Les paiements doivent être effectués en euros et par virement bancaire sur le(s) compte(s) bancaire(s) indiqué(s) sur les factures.

3.2 En cas de non-paiement à l’échéance, les montants dus à SPORTIZON seront automatiquement majorés de plein droit et sans mise en demeure préalable, d’un intérêt de retard au taux mensuel de 1,0 %, à compter de la date d’échéance de la facture, chaque mois entamé étant considéré comme un mois entier, ainsi que d’un dédommagement conventionnel et forfaitaire de 10 % du montant impayé, avec un minimum de 250 euros. Les frais de recouvrement supplémentaires, comme les frais de justice, les frais de procédure et les honoraires des conseillers techniques, seront également recouvrés auprès du client.

3.3 En outre, en cas de retard de paiement d’une seule facture, toutes les sommes dues par le client à SPORTIZON, même si elles ne sont pas encore exigibles à ce moment-là, deviendront immédiatement et intégralement exigibles.

3.4 En outre, en cas de non-paiement ou de retard de paiement, SPORTIZON se réserve le droit de suspendre ou d’arrêter définitivement l’exécution des événements encore prévus pour le même client (qu’ils fassent l’objet de la commande impayée ou d’une autre commande), sans mise en demeure préalable et sans préjudice de la possibilité pour SPORTIZON de réclamer un dédommagement.

3.5 Si la facture est libellée au nom d’un tiers à la demande du client/donneur d’ordre, le client sera solidaire de ce tiers pour le paiement de la facture et l’exécution des autres engagements pris.

3.6 Le prix initialement convenu et les acomptes versés seront, en outre et en tout cas acquis par SPORTIZON qui, dans la mesure où ils n’auraient pas été intégralement payés, pourra également réclamer le solde restant dû par le client. Il en va de même en cas d’annulation de la commande avant son exécution, conformément aux dispositions prévues à l’article 5.

3.7 Toute réclamation concernant les factures de SPORTIZON doit être notifiée par écrit dans les 7 jours suivant leur date d’envoi. À défaut, les factures seront considérées comme acceptées sans réserve.

4. EXÉCUTION DU CONTRAT – LIVRAISON ET RÉSERVE DE PROPRIÉTÉ

4.1 Les délais de livraison sont donnés à titre indicatif et ne sont donc pas contraignants, sauf accord explicite. Les retards dans l’exécution de la commande ne peuvent jamais donner lieu au paiement d’un dédommagement ou à la résiliation du contrat, à moins qu’un délai de livraison déterminé ait été explicitement convenu.

4.2 Tous les services, matériaux ou biens fournis qui ne sont pas expressément mentionnés dans le contrat ou l’offre seront facturés en plus sur la facture de solde. Les services supplémentaires ne doivent pas être confirmés par écrit. La confirmation verbale des services sera acceptée comme valable.

4.3 SPORTIZON a le droit de collaborer avec des tiers de son choix et sous sa responsabilité – personne physique ou morale – pour l’exécution des prestations qui lui sont confiées.

4.4 Les droits de propriété sur les matériaux ou les marchandises livrés ne seront transférés au client qu’au moment du paiement intégral.

5. ANNULATION DE LA COMMANDE OU RÉDUCTION DES PRESTATIONS

5.1 En cas d’annulation du contrat par le client à n’importe quel moment, les frais réels encourus seront toujours payables à SPORTIZON. Ceux-ci comprennent, sans s’y limiter, les heures de travail prestées, la perte d’utilisation d’occupation, les coûts (de réservation) de toute nature engagés, etc.

Selon le cas applicable, une annulation du contrat ou d’une ou plusieurs commandes particulières dans le cadre du contrat ou une réduction des prestations couvertes par le contrat par le client, entraîneront l’exigibilité des montants suivants:

(i) si l’annulation ou la réduction est annoncée au moins 75 jours avant la date de début de la production de la commande, le client sera redevable d’un dédommagement forfaitaire pour résiliation unilatérale de 25 % du montant total de la facture ;

(ii) si l’annulation ou la réduction est annoncée moins de 75 jours, mais au moins 30 jours avant la date de début de la production de la commande, le client sera redevable d’un dédommagement forfaitaire pour résiliation unilatérale de 50 % du montant total de la facture ;

(iii) si l’annulation ou la réduction est annoncée moins de 30 jours avant la date de début de la production de la commande, le client sera redevable d’un dédommagement forfaitaire pour résiliation unilatérale de 100 % du montant total de la facture.

5.2 Les dédommagements forfaitaires mentionnés à l’article 5.1 n’affectent en rien le droit de SPORTIZON de réclamer des dédommagements supplémentaires au client si le préjudice réel subi par SPORTIZON est plus élevé.

5.3 Le client et SPORTIZON peuvent déroger à l’article 5.1 d’un commun accord, par écrit. Les frais supplémentaires occasionnés par toute modification du contrat initial seront facturés au client.

6. RÉCLAMATIONS

6.1 Les réclamations concernant les travaux réalisés doivent être signalées par écrit à SPORTIZON par le client dans un délai de 7 jours à compter de la découverte de l’objet de la réclamation. La mise en demeure doit contenir une description aussi détaillée que possible du manquement, afin que SPORTIZON puisse y réagir de manière adéquate. Les réclamations introduites passé ce délai ne seront pas acceptées.

6.2 Si une réclamation est justifiée, SPORTIZON réalisera ou corrigera les travaux comme convenu, à moins que cela ne soit devenu entre-temps manifestement inutile pour le client. Ce dernier cas doit être notifié par écrit par le client.

7. RETOUR

7.1 Si SPORTIZON a mis des articles à la disposition du client dans le cadre de l’exécution du contrat, le client est tenu de renvoyer les articles livrés dans leur état d’origine, sans défaut et dans leur intégralité dans les 7 jours suivant la résiliation du contrat ou d’une ou plusieurs commandes dans le cadre du contrat.

7.2 Si, pour quelque raison que ce soit, le client continue à manquer à l’obligation mentionnée au point 7.1 après une mise en demeure, SPORTIZON sera en droit de recouvrer auprès du client les dommages et les coûts qui en résultent, y compris les coûts de remplacement.

8. RÉSILIATION

8.1 Sans préjudice du droit à dédommagement et sans préjudice de l’application de l’article 1184 du Code civil, SPORTIZON a le droit de résilier le contrat avec le client de plein droit et sans mise en demeure écrite si l’un des événements suivants se produit : le non-paiement à l’échéance d’une seule facture, ainsi qu’en cas de décès, d’incapacité, de déclaration d’incapacité, de mise en liquidation, d’insolvabilité manifeste, de réorganisation judiciaire si le client, après avoir été mis en demeure par SPORTIZON, ne confirme pas l’exécution de son contrat ou en cas de faillite du client.

9. GARANTIES

9.1 Le client prémunit SPORTIZON contre les réclamations de tiers concernant les droits de propriété intellectuelle sur les matériaux ou les données fournis par le client, et qui sont utilisés dans le cadre de l’exécution du contrat.

10. FORCE MAJEURE

10.1 Le contrat ou une ou plusieurs commandes faisant partie du contrat avec le client peut/peuvent être reporté(e)(s), modifié(e)(s) ou résilié(e)(s) par SPORTIZON en cas de force majeure ou en raison de facteurs externes échappant au contrôle de SPORTIZON. On entend par force majeure toute circonstance indépendante de la volonté de SPORTIZON qui l’empêche (même temporairement) de remplir tout ou partie de ses obligations. Il s’agit notamment (liste non exhaustive) d’une modification importante du prix/de la réputation de la personne, du matériel, des locaux ou des services commandés, du défaut de livraison et de la livraison non ponctuelle ou d’erreurs de la part des fournisseurs ou d’autres tiers engagés, d’instructions, de décisions ou d’interventions de toute nature de la part de services publics, administratifs ou réglementaires (« fait du Prince »), de terrorisme ou de la menace de terrorisme, de conditions météorologiques (telles que la chaleur extrême, les orages, les tempêtes, les bourrasques, les inondations, etc.), d’incendies, d’émeutes, de guerre ou menace de guerre, d’insurrection, de décès, de maladie, d’épidémie, d’état de quarantaine, de défaillances de tout réseau ou connexion (de télécommunications) ou des systèmes de communication utilisés, de perturbations sur la voie publique, de blocus, de grèves ou de lock-out, de manifestations et autres troubles perturbateurs.

10.2 SPORTIZON s’engage cependant à informer immédiatement le client de la survenance d’un tel événement et à lui proposer dans ce cas, dans la mesure du possible, une alternative équivalente. En aucun cas la responsabilité de SPORTIZON ne pourra être engagée et aucun dédommagement ne sera dû au client.

10.3 La force majeure ne libère pas le client de ses obligations de paiement pour les prestations déjà livrées.

11. RESPONSABILITÉ

11.1 SPORTIZON n’est pas responsable de la détérioration, de la destruction ou du vol éventuels des objets appartenant au client qui lui ont été confiés dans le cadre du contrat, sauf si la détérioration, la destruction ou le vol sont dus à une grave négligence de SPORTIZON.

11.2 La responsabilité de SPORTIZON en cas de force majeure est exclue. Les cas de force majeure ne donneront droit à aucune forme de dédommagement.

11.3 SPORTIZON dispose d’une assurance responsabilité civile. La responsabilité extracontractuelle éventuelle de SPORTIZON est toujours limitée à la couverture prévue par l’assurance responsabilité civile que l’entreprise a souscrite.

11.4 Si SPORTIZON manque à l’exécution de ses prestations et ne remédie pas à son manquement dans les trente jours suivant la mise en demeure écrite du client, le  dédommagement total éventuel dû par SPORTIZON en raison du manquement contractuel ne dépassera jamais 25 % du montant facturé pour la prestation, sauf dispositions différentes de droit impératif ou d’ordre public.

11.5 SPORTIZON ne peut en aucun cas être tenu responsable des dommages indirects, y compris les dommages consécutifs, le manque à gagner, les économies manquées et les dommages dus à la stagnation des affaires.

12. GÉNÉRALITÉS

12.1 SPORTIZON se réserve le droit d’utiliser les connaissances acquises lors de l’exécution des travaux à d’autres fins, pour autant qu’aucune information confidentielle ne soit portée à la connaissance de tiers. SPORTIZON se réserve également le droit de faire de la publicité pour les travaux réalisées à titre de référence pour sa propre entreprise, sans obtenir l’accord préalable du client à cet effet.

12.2 SPORTIZON pourra apposer son nom ou son logo sur les supports utilisés pour la promotion des travaux, selon des modalités à convenir avec le client. Ce logo ne pourra pas être modifié, enlevé ou déplacé sans l’accord de SPORTIZON.

12.3 SPORTIZON conserve tous les droits de propriété intellectuelle relatifs au développement, au concept et à l’élaboration des événements, y compris ceux qui seraient restés dans une phase de développement uniquement ou qui n’auraient pas été finalement approuvés ou exécutés.

13. DROIT APPLICABLE, CLAUSULE DE MÉDIATION ET TRIBUNAL COMPÉTENT

13.1 Le droit belge est exclusivement applicable en cas de litiges entre SPORTIZON et le client.

13.2 En cas de litige entre les parties concernant la validité, l’interprétation ou l’exécution du présent contrat, seuls les tribunaux de Bruxelles seront compétents pour en prendre connaissance. La langue de la procédure sera le néerlandais.

1. APPLICABILITY OF THE GENERAL TERMS AND CONDITIONS

1.1 These general terms and conditions apply to all price offers, orders, sales en purchase agreements en deliveries of products and/or services of, with and by SPORTIZON.

1.2 The customer’s general terms and conditions are explicitly excluded. The customer accepts the application of these general terms and conditions by the mere fact of entering into a sales agreement or by accepting a delivery.

1.3 Any deviation from the general terms and conditions shall only be valid if expressly agreed to and signed by SPORTIZON in advance in writing.

2. PRICE OFFERS AND ACCEPTANCE OF THE ORDER

2.1 Any price offers drafted by SPORTIZON are valid for a duration of 14 days, unless otherwise agreed in writing. The customer must confirm their agreement with SPORTIZON’s price offer for the order in writing. The agreement shall be entered into when SPORTIZON has accepted the customer’s order in writing. Under the current general terms and conditions, written notifications shall be sent by email, fax or letter, unless provided for otherwise. The start of the fulfilment by SPORTIZON also equals acceptance, unless this is done under certain conditions.

3. PRICE AND METHODS OF PAYMENT

3.1 Unless explicitly agreed otherwise in writing, each order requires an advance payment in the sum of 30% of the total order amount. The balance shall be paid no later than 30 days after receipt of the invoice. Payments should be made in Euro and by bank transfer to the bank account(s) noted on the invoices.

3.2 In case of non-payment on the due date, the amounts due to SPORTIZON shall be automatically increased, by operation of law and without prior notice, with late payment interest at a monthly interest rate of 1.0%, starting from the due date on the invoice, with each month that has already started being considered a full month, as well as conventional fixed compensation of 10% of the unpaid amount, but no less than €250.  Additional collection costs, such as court fees, procedural costs and fees charged by technical advisers shall also be charged to the customer.

3.3 Moreover, late payment of one invoice shall mean that all amounts the customer owes SPORTIZON can be immediately claimed in full, even if they are not due yet at that time.

3.4 In addition, SPORTIZON reserves the right to suspend or terminate the fulfilment of any planned events for the same customer (whether they form part of the unpaid order or of a different order) if payment is not made or is delayed, without prior notice and without prejudice to SPORTIZON’s option to claim compensation.

3.5 If the invoice was made out to a third party at the customer’s request, the customer shall be obliged to pay the invoice and fulfil any other commitments entered into together with this third party.

3.6 The initially agreed price and advance payments deposited shall be obtained by SPORTIZON in any case and they shall also be able to claim the balance owed by the customer insofar as this has not yet been paid in full. The same applies if the order is cancelled before it is fulfilled, in accordance with the stipulations set out in Article 5.

3.7 Any complaint in regard to SPORTIZON’s invoices must be communicated in writing within 7 days after their date of dispatch. In the absence of such communication, the invoices shall be deemed to have been accepted without prejudice.

4. FULFILMENT OF THE AGREEMENT – DELIVERY AND RETENTION OF TITLE

4.1 The delivery terms are only provided for information purposes and are therefore not binding unless explicitly agreed. A delay in the fulfilment of the order may never give rise to compensation or dissolution of the agreement, unless an explicit delivery term was agreed.

4.2 Any services, materials or goods supplied that are not explicitly mentioned in the contract or on the price offer shall be billed for separately on the invoice. Additional services do not have to be confirmed in writing. An oral confirmation of services shall be accepted as legally valid.

4.3 SPORTIZON has the right to work with any third parties (natural or legal persons) of their choice and under their responsibility to provide the services entrusted to them.

4.4 The property rights to the delivered goods or materials are only transferred to the customer once payment has been made in full.

5. CANCELLATION OF THE ORDER OR PERFORMANCE DEGRADATION

5.1 If the agreement is cancelled by the customer at any time, the actual costs incurred shall always be due to SPORTIZON. These include, but are not limited to, the working hours performed, loss of capacity, (reservation) fees of any kind, etc.

As applicable, cancellation by the customer of the agreement or of one or more orders within the agreement or of a degradation of the performances covered by the agreement shall allow the following amounts to be claimed:

(i) if the cancellation or degradation is announced no later than 75 days before the production-related start date of the order, the customer shall be owed fixed compensation due to unilateral cancellation in the amount of 25% of the total invoice amount;

(ii) if the cancellation or degradation is announced no later than 75 days before the production-related start date of the order, the customer shall be owed fixed compensation due to unilateral cancellation in the amount of 50% of the total invoice amount;

(iii) if the cancellation or degradation is announced less than 30 days before the production-related start date of the order, a fixed compensation due to unilateral cancellation shall be owed in the amount of 100% of the total invoice amount;

5.2 The fixed compensations mentioned in Article 5.1 do not in any way impact SPORTIZON’s right to demand additional compensation from the customer if the damage actually incurred by SPORTIZON is higher.

5.3 The customer and SPORTIZON may deviate from Article 5.1 in writing by mutual agreement. Any additional costs incurred as a result of amendments to the original agreement shall be charged to the customer.

6. COMPLAINTS

6.1 The customer should address any complaints about the work carried out to SPORTIZON in writing within 7 days after their discovery.  This notice of default should describe the deficiency in as much detail as possible, enabling SPORTIZON to respond as adequately as possible. Complaints addressed after this period will no longer be accepted.

6.2 If a complaint is justified, SPORTIZON shall carry out the work retrospectively or correct it as agreed, unless this has become demonstrably pointless for the customer in the meantime. The latter should be communicated by the customer in writing.

7. RETURN

7.1 If SPORTIZON has provided the customer with certain items while fulfilling the agreement, the customer must return these items within 7 days after termination of the agreement or of one or more orders within the agreement in their original condition, free of defects and in full.

7.2 If the customer still fails to fulfil the obligation mentioned under 7.1 for any reason whatsoever, despite a demand to this effect, SPORTIZON has the right to bill the customer for any damages and costs arising thereof, including any replacement costs.

8. DISSOLUTION

8.1 Without prejudice to the right to compensation and without prejudice to the application of Article 1184 of the Belgian Civil Code, SPORTIZON has the right to dissolve the agreement with the customer by operation of law without notification in writing if any of the following events occur: non-payment of one single invoice on the due date as well as in case of death, incompetence, declaration of incapacity, liquidation, apparent insolvency, judicial reorganisation, if the customer did not confirm their fulfilment of the agreement after notice of default by SPORTIZON, or in case of the customer’s bankruptcy.

9. INDEMNITIES

9.1 The customer indemnifies SPORTIZON for any third-party claims with regard to intellectual property rights on materials or data provided by the customer, which are used to fulfil the agreement.

10. FORCE MAJEURE

10.1 The agreement or one or more orders that form part of the agreement with the customer may be postponed, amended or dissolved by SPORTIZON in case of force majeure or as a result of external factors outside of SPORTIZON’s will. Force majeure shall mean any circumstance outside of SPORTIZON’s will, which (temporarily) prevents them from wholly or partially fulfilling their obligations. This includes, but is not limited to, a significant change in price/reputation of the ordered known person, materials, rooms or services, non-delivery or not delivering on time or errors by suppliers or other third parties that were hired, instructions, decisions or interventions of any kind due to public, administrative or regulatory services (acts of state), terrorism or a threat of terror, weather conditions (such as extreme heat, thunderstorm, storm, gusts of wind, floods, etc.), fires, riots, war or a threat of war, uprisings, death, illness, epidemics, a state of quarantine or quarantine measures, failures in a (telecommunication) network or connection or communication systems used, disturbances against the maintenance of law and order, strikes or lock-outs, protests and other disruptive disturbances.

10.2 SPORTIZON commits to inform the customer without delay, however, should such a fact occur and to suggest an equivalent alternative in that case, insofar as is possible. SPORTIZON cannot be held responsible in any way and the customer will not be owed any compensation.

10.3 Force majeure does not relieve the customer from their obligation to pay for work already carried out.

11. LIABILITY

11.1 SPORTIZON is not liable for any damage to or destruction of or theft of items belonging to the customer, which it received as part of the agreement, except when the damage, destruction or theft was the result of gross negligence on the part of SPORTIZON.

11.2 Any liability on the part of SPORTIZON in case of force majeure shall be strictly excluded. Cases of force majeure do not entitle the customer to any form of compensation.

11.3 SPORTIZON has taken out a civil liability insurance. Any non-contractual liability on the part of SPORTIZON shall be limited to the cover provided for in their civil liability insurance.

11.4 If SPORTIZON fails in the performance of its services and is not able to correct this breach of contract within thirty days after the customer’s written notice of default, the total compensation that may be owed by SPORTIZON due to breach of contract shall never be higher than 25% of the amount invoiced for the work, unless otherwise stipulated in mandatory provisions of law or public policy provisions.

11.5 SPORTIZON cannot be held liable for any indirect damage, including consequential damage, loss of profit, lost savings or damage due to business interruption.

12. GENERAL

12.1 SPORTIZON reserves the right to use its increased knowledge as a result of performing the work for other purposes, providing no confidential information is imparted to any third parties. SPORTIZON also reserves the right to advertise for any orders it has performed by means of reference to its own company, without obtaining the customer’s prior consent.

12.2 SPORTIZON shall be allowed to affix its name or logo to carriers used to promote the order, in accordance with terms that shall be agreed with the customer. This logo may not be changed, removed or moved without SPORTIZON’s consent.

12.3 SPORTIZON maintains all intellectual property rights on the development, concept and implementation of the event, including those that remain in the development phase or that were not approved or implemented in the end.

13. APPLICABLE LAW, MEDITATION CLAUSE AND COMPETENT COURT

13.1 In case of disputes between SPORTIZON and the customer only Belgian law applies.

13.2 If a dispute arises between the parties regarding the validity, interpretation or implementation of this agreement, the courts of Brussels shall have exclusive jurisdiction. The dispute shall be conduced in the Dutc
